1. Acceptance of Terms

By accessing or using Quotifi ("the Service") at quotifi.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Quotifi is an AI-assisted tool that helps freelancers and creative professionals generate project estimates and proposal drafts. All output is generated by artificial intelligence and is provided for informational and drafting purposes only. Quotifi does not provide legal, financial, accounting, or professional advice of any kind.

3. No Guarantee of Accuracy

Estimates, pricing suggestions, and proposals generated by Quotifi are produced by AI and may be inaccurate, incomplete, or unsuitable for your specific situation. You are solely responsible for reviewing, validating, and deciding whether to use any output from the Service. Quotifi makes no representation that generated content is accurate, appropriate, or will result in any particular business outcome.

4. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payments and Subscriptions

Certain features require a paid subscription ("Pro plan"). By subscribing, you agree to the following:

  • Subscriptions are billed on a recurring monthly or annual basis via Stripe
  • You authorize us to charge your payment method on the applicable billing cycle
  • All payments are non-refundable except where required by applicable law
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • We reserve the right to change pricing with reasonable notice

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Generate fraudulent, deceptive, or misleading content
  • Attempt to reverse-engineer, scrape, or abuse the Service's APIs
  • Circumvent any access controls or rate limits
  • Use the Service for any purpose that could harm Quotifi or its users

We reserve the right to terminate access for any user who violates these rules, without notice or refund.

7. Intellectual Property

The Quotifi name, logo, design, and underlying software are owned by Quotifi and protected by applicable intellectual property laws. You retain ownership of the content you input into the Service. You grant Quotifi a limited license to process your input solely to provide the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUOTIFI AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO QUOTIFI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quotifi and its owners, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any proposal or estimate you send to a third party that was generated using the Service.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive your right to a jury trial and to participate in any class action lawsuit against Quotifi.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. To the extent a dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in the United States.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will indicate changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, stop using the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including disclaimers, limitations of liability, and dispute resolution — shall survive.
